Terms of Service

By using the Toolstem MCP servers (the "Service"), you agree to these terms. If you do not agree, do not use the Service.

The Service

Toolstem operates two pay-per-call MCP servers: a Finance server (mcp.toolstem.com/mcp/finance) and an SEC EDGAR server (mcp.toolstem.com/mcp/sec). The servers expose financial and regulatory data via the Model Context Protocol, settled per call via x402 or Apify.

Acceptable use

You may use the Service for any lawful purpose, including building autonomous agents, integrating with research tools, and developing trading or analytical software. You agree not to:

  • Use the Service in a way that violates applicable law, including securities and market-manipulation laws.
  • Attempt to circumvent the payment mechanism or access the Service without paying.
  • Resell or rebrand the data feeds beyond your own product or agent without modification or value-add (i.e., do not run a thin proxy).
  • Probe, attack, or attempt to disrupt the Service.
  • Use the Service to violate the terms of the upstream providers (Financial Modeling Prep, Apify, Coinbase CDP, SEC EDGAR).

Payment

Payment is per call. The price is published on each server's product page and in the 402 challenge response. Payments settled via x402 are final at the moment of on-chain settlement. Payments via Apify are governed additionally by Apify's terms.

Refunds for failed responses (HTTP 5xx errors caused by the Service) are issued on request to admin@toolstem.com, evaluated case by case.

Data accuracy

The Finance server relays data from Financial Modeling Prep. The SEC server relays data from public SEC EDGAR filings. We do not warrant the accuracy or completeness of upstream data. Do not rely on Toolstem as a sole source of truth for trading decisions, regulatory filings, or other consequential actions.

No investment advice

Nothing returned by the Service constitutes investment advice, a recommendation, or a solicitation. Data is provided for informational and integration purposes only.

Availability

The Service is provided on an as-available basis. We aim for high uptime but do not commit to a specific service-level agreement. Scheduled and emergency maintenance may occur without notice.

Limitation of liability

To the fullest extent permitted by applicable law, Toolstem and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising out of your use of the Service. Total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 30 days preceding the claim.

Indemnification

You agree to indemnify and hold harmless Toolstem and its operators from any claim, loss, or expense arising out of your use of the Service or your violation of these terms.

Changes

We may update these terms. Material changes will be announced on the Toolstem GitHub organization with at least 14 days notice. Continued use of the Service after changes take effect constitutes acceptance.

Governing law

These terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles.
